Proper Channel Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, site(s), and applications offered by Proper Channel (the "Service"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service you agree to be bound by these Terms. General Terms

These Terms are the entire and exclusive agreement between Proper Channel and you regarding the Service (excluding any services for which you have a separate agreement with Proper Channel that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between Proper Channel and you regarding the Service.

The failure of Proper Channel to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

We may revise these Terms from time to time. The most current version will always be on this page (or such other page as the Service may indicate). Users shall be responsible for reviewing and becoming familiar with any such modifications.

Proper Channel shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Proper Channel’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable, or sublicensable by the user except with Proper Channel’s prior written consent. Proper Channel may assign this Agreement in whole or in part at any time without the user’s consent.

No agency, partnership, joint venture, or employment is created as a result of this Agreement.

Use of the Service

You may use the Service only if you can form a binding contract with Proper Channel, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations. You must provide us accurate information, including your real name, when you create your account on Proper Channel.

We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to users generally; or create usage limits for the Service. Proper Channel retains the right to create limits on use and storage in its sole discretion at any time with or without notice.

Proper Channel may also impose limits on certain features and services or restrict access to parts or all of the Service without notice or liability.

You represent that you are over the age of thirteen (13) years old. If you are over thirteen, but under the legal age of majority, your parent or legal guardian must consent to these Terms, and affirm that they accept this Agreement on behalf of, and bear all legal and financial responsibility and liability for the actions of, any child between the age of 13 and majority, and expressly ratify and confirm any acts of any such child and all users of the account.

You agree that neither Proper Channel nor the site will be liable in any event to you or any other party for any suspension, modification, discontinuance, or lack of availability of the site, the Service, any Content, or other content.

You also certify that you are permitted under all applicable laws to use the Service and access the site and that you take full responsibility for the selection and use of the Service and access of the site. This agreement is void where prohibited by law, and the right to access the site is revoked in such jurisdictions.

Proper Channel makes no claim that the site may be lawfully viewed or that content may be accessed outside of the United States. Access to the content may not be legal by certain persons or in certain countries. If you access the site from outside the United States, you do so at your own risk and you are responsible for compliance with the laws of your jurisdiction.

The user shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to or access the site or otherwise to use the Service, including but not limited to modems, hardware, software, and long distance or local telephone service. Subscriber shall be responsible for ensuring that such equipment or ancillary services are compatible with the Services.

Registration and Security

As a condition to using Service, you may be required to register with Proper Channel and select a password and profile name. You shall provide Proper Channel with accurate, complete, and updated registration information, including your real name and email address. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account. You may not (a) select or use as a profile name a name of another person with the intent to impersonate that person; or (b) use as a profile name a name subject to any rights of a person other than yourself without appropriate authorization. Proper Channel reserves the right to cancel or refuse registration of a profile name in its discretion. You shall be responsible for maintaining the confidentiality of your password. You are solely responsible for any use of or action taken under your password and accepts full responsibility for all activity conducted through your account and agrees to and hereby releases the site and Proper Channel from any and all liability concerning such activity. You agree to notify Proper Channel immediately of any actual or suspected loss, theft, or unauthorized use of your account or password. Proper Channel expressly disclaims any and all liability for the accessing of any such data communications by unauthorized persons or entities.

User Content

"Content" means any information, text, graphics, or other materials uploaded, downloaded or appearing on the Service. You retain ownership of all Content you submit, post, display, or otherwise make available on the Service.

Your License to Proper Channel

By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

You agree that this license includes the right for other users of the Service to modify your Content, and for Proper Channel to make your Content available to others for the publication, distribution, syndication, or broadcast of such Content on other media and services, subject to our terms and conditions for such Content use. Such additional uses by Proper Channel or others may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Service.

We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You grant Proper Channel the perpetual and irrevocable right and license to use, copy, cache, publish, display, distribute, modify, create derivative works, and store such Content and to allow others to do so in any medium now known or hereinafter developed in order to provide the Service, even if such Content has been contributed and subsequently removed by you. You warrant, represent, and agree you have the right to grant Proper Channel and the site the rights set forth above. You understand that publishing Content on the site is not a substitute for registering it with the United States Copyright Office, the Writer’s Guild of America, or any other rights organization.

Additionally, by uploading Content to the site, you warrant, represent and agree that you have the right to grant Proper Channel the license described above. You also represent, warrant and agree that you have not and will not contribute any Content that (a) infringes, violates or otherwise interferes with any copyright or trademark of another party, (b) reveals any trade secret, unless the trade secret belongs to you or you have the owner's permission to disclose it, (c) infringes any intellectual property right of another or the privacy or publicity rights of another, (d) is libelous, defamatory, abusive, threatening, harassing, hateful, offensive or otherwise violates any law or right of any third party, (e) creates an impression that you know is incorrect, misleading, or deceptive, including by impersonating others or otherwise misrepresenting your affiliation with a person or entity; (f) contains other people's private or personally identifiable information without their express authorization and permission, and/or (g) contains or links to a virus, trojan horse, worm, time bomb or other computer programming routine or engine that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information. Proper Channel reserves the right in its discretion to remove any Content from the site, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law.

Any government documents that constitute part of the Content lie in the public domain, and Proper Channel does not assert copyright in such government documents. However, Proper Channel does claim copyright in the markup, navigation features, online formatting, and other features that add value to such government documents as are included in the Site.

You may choose to or we may invite you to submit comments or ideas about the site or Service, including but not limited to about how to improve the site or Service (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited, and without restriction and will not place Proper Channel under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission of an Idea, Proper Channel does not waive any rights to use similar or related ideas previously known to Proper Channel, developed by Proper Channel’s employees, or obtained from sources other than you.

Content Rules

You must not do any of the following while accessing or using the Service: (i) use the Service for any unlawful purposes or for promotion of illegal activities; (ii) upload or post any Content (as defined above) in violation of the provisions contained in the Terms; (iii) use the Service for the purpose of spamming anyone; (iv) access or tamper with non-public areas of the Service, Proper Channel's computer systems, or the technical delivery systems of Proper Channel's providers; (v) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (vi) access or search or attempt to access or search the Service by any means (automated or otherwise) other than through the currently available, published interfaces that are provided by Proper Channel (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with Proper Channel (crawling the Service is permissible in accordance with these Terms, but scraping the Service without the prior consent of Proper Channel except as permitted by these Terms is expressly prohibited); (vii) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Service to send altered, deceptive or false source-identifying information; or (viii) interfere with or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Service, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Service.

Third-Party Content

Regarding the Content supplied by you, Proper Channel is a distributor and not a publisher. Proper Channel has no more editorial control over such third-party or User Content than does a public library or newsstand. Any opinions, advice, statements, services, offers, or other information that constitutes part of Content expressed or made available by third parties and not by Proper Channel are those of the respective authors or distributors and not of Proper Channel. Neither Proper Channel nor any third party, including any Provider, or any user of the site, guarantees the accuracy, completeness, or usefulness of any Content, nor its merchantability or fitness for any particular purpose. In many instances, the Content available through the site represents the opinions and judgments of the respective Provider or user not under contract with the site. Proper Channel neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on the site by anyone other than authorized Proper Channel employees. Under no circumstances shall Proper Channel be liable for any loss, damage or harm caused by a user's reliance on information obtained through the site. It is the responsibility of a User to evaluate the information, opinion, advice or other Content available through the site.

The Website may reference or link to third-party sites throughout the World Wide Web. Proper Channel has no control over these third-party sites or the content within them. Proper Channel cannot and does not guarantee, represent or warrant that the content contained in these third-party sites is accurate, legal, or inoffensive. Proper Channel does not endorse the content of any third-party site, nor do we warrant that they will not contain viruses or otherwise impact your computer. Proper Channel does not assume any responsibility or liability for the actions, product, services, and content of all these and any other third parties. If you choose to link to or use a third-party website, you should carefully review such third party's privacy statement and other terms and conditions of use. By using the site and/or Service to search for or link to another third-party site, you agree and understand that you may not make any claim against Proper Channel for any damages or losses, whatsoever, resulting from your use of the Website to obtain search results or to link to another site.

Restrictions

You are responsible for all of your activity in connection with the Service and accessing the site. Any fraudulent, abusive, or otherwise illegal activity or any use of the Service or Content in violation of this Agreement may be grounds for termination of your right to Service or to access the site. You may not post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any site or Service user.

Use of the site or Service to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited. Under no circumstances will you use the site or the Service to (a) send unsolicited emails, bulk mail, spam, or other materials to users of the site or any other individual, (b) harass, threaten, stalk, or abuse any person or party, including other users of the Site, (c) create a false identity or to impersonate another person, or (d) knowingly post any false or inaccurate material.

Proper Channel and Legal & Medical Contributors TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

In no event shall Proper Channel or Legal & Medical Contributors be liable for any damages (including, without limitation, incidental and consequential damages, personal injury / wrongful death, lost profits, or damages resulting from lost data or business interruption) resulting from the use of or inability to use the site or the Content, whether based on warranty, contract, tort, or any other legal theory, and whether or not Proper Channel or its Legal & Medical Contributors is advised of the possibility of such damages. Neither Proper Channel nor the Legal & Medical Contributors are liable for any personal injury, including death, caused by your use or misuse of the site or Content.

In particular, Proper Channel and the site are not attorneys or a law firm and do not provide legal advice. Proprietary Rights

All right, title, and interest in and to the Service (excluding Content provided by users) are and will remain the exclusive property of Proper Channel and its licensors. Any feedback, comments, or suggestions you may provide regarding the Service is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

The Service may include advertisements, which may be targeted to the Content or information on the Service, queries made through the Service, or other information. The types and extent of advertising by Proper Channel on the Service are subject to change. In consideration for Proper Channel granting you access to and use of the Service, you agree that Proper Channel and its third party providers and partners may place such advertising on the Service or in connection with the display of Content or information from the Service whether submitted by you or others.

Copyright Policy

Proper Channel respects the intellectual property rights of others and expects users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. You can see an example of such a publication at www.chillingeffects.org. A link to your published notice will be displayed on Proper Channel in place of the removed content.

We reserve the right to remove Content alleged to be infringing or otherwise illegal without prior notice and at our sole discretion. In appropriate circumstances, Proper Channel will also terminate a user's account if the user is determined to be a repeat infringer.

Privacy Policy

What Information this Privacy Policy Covers

Some of our site's functionality can be used without revealing any personal information, though for certain features or services related to the Service, personal information is required. If you do not use these specific features or services on the Site, then the only information we collect will be "Non-Personal Information" (i.e., information that cannot be used to identify you). Non-Personal Information includes information such as the web pages that you have viewed. In order to access certain features and benefits on our Site, you may need to submit "Personally Identifiable Information" (i.e., information that can be used to identify you). What You Consent to by Using Our Site

Please understand that by submitting any Personally Identifiable Information to us, you consent and agree that we may collect, use and disclose such Personally Identifiable Information in accordance with the Terms, and as permitted or required by law. If you do not agree with these terms, then please do not provide any Personally Identifiable Information to us. If you refuse or withdraw your consent, or if you choose not to provide us with any required Personally Identifiable Information, we may not be able to provide you with the services that can be offered on our site.

What Information We Collect

Non-Personal Information. When users come to our site, we may track, collect and aggregate Non-Personal Information indicating, among other things, which pages of our site were visited, the order in which they were visited, when they were visited, and which hyperlinks were "clicked." We also collect information from the URLs from which you linked to our site. Collecting such information may involve logging the IP address, operating system and browser software used by each user of the site. Cookies and web beacons allow Proper Channel to serve you better and more efficiently, and to personalize your experience at our Site. Cookies and web beacons are not used to retain Personally Identifiable Information. From time to time we may also use additional typical methods of collecting data.

You should be able to control how and whether cookies will be accepted by your web browser. Most browsers offer instructions on how to reset the browser to reject cookies in the "Help" section of the toolbar. If you reject our cookies, many functions and conveniences of this Site may not work properly.

Personally Identifiable Information. We collect Personally Identifiable Information that you provide to us when you sign-up for email updates or the Service, participate in our public forums, send us email messages, and/or participate in the Service or other services on our Site. Among other things, we may use the Personally Identifiable Information that you provide to respond to your questions, provide you the specific Service and/or services you select, send you updates about the Service offered by Proper Channel or other Proper Channel events, and send you email messages about Site maintenance or updates, among other things.

Updates. Proper Channel may offer you the ability to receive updates either via email or by posting on portions of the Site only accessible to registered users. In order to subscribe to these services, you may be required to provide us with Personally Identifiable Information such as your name and email address.

Forums. Proper Channel may offer public forums from time to time (the "Forums") where you can share comments and thoughts. In order to participate in the Forums, you may be required to register with us and/or provide us with Personally Identifiable Information such as your name and email address. Personally Identifiable Information shall not include any information posted or sent by or to you via any public Forum.

Identity Verification. Proper Channel may offer you the ability to verify your identity. In order to enroll for these services, you may be required to provide us with Personally Identifiable Information such as your name, address, a headshot taken using a webcam, a photo identification document, and a sample of your typing patterns.

Communications with Proper Channel. We may receive Personally Identifiable Information when you send us an email message or otherwise contact us.

Third Party Sites. We may receive Personally Identifiable Information when you access or log-in to a third party site, e.g., Facebook, from our sites. This may include the text and/or images of your Personally Identifiable Information available from the third party site.

How We Use the Information

Non-Personal Information. We use Non-Personal Information to build higher quality, more useful services by performing statistical analyses of the collective characteristics and behavior of our users, and by measuring demographics and interests regarding specific areas of our Site. We may also use it for other business purposes.

Personally Identifiable Information. Except as set forth in the Terms or as specifically agreed to by you, Proper Channel will not disclose any Personally Identifiable Information we gather from you on the Site. In addition to the other uses set forth in this Privacy Policy, we may disclose and otherwise use Personally Identifiable Information as described below. We may also use it for research and business purposes.

Updates. We use Personally Identifiable Information collected when you sign-up for our various email or update services to send you the messages in connection with the Site or Service. We may also archive this information and/or use it for future communications with you.

Forums. To facilitate your use of the Forums, we use Personally Identifiable Information collected during your use of the Forums. In addition, we may publish this information via extensions of our Platform that use third-party services, like mobile applications. We also reserve the right to reuse Forum posts containing Personally Identifiable Information in future iterations of the Service, for the purpose of enhancing future Service offerings. We may archive this information and/or use it for future communications with you and/or your designee(s). We may also use or publish posts submitted on the forums without using Personally Identification Information.

Communications with Proper Channel. When you send us an email message or otherwise contact us, we may use the information provided by you to respond to your communication and/or as described in this Privacy Policy. We may also archive this information and/or use it for future communications with you.

Communications with Proper Channel Business Partners. We may share your Personally Identifiable Information with business partners of Proper Channel to receive communications from such parties that you have opted in to.
